Welcome to Codesc Nepal Pvt. Ltd. By accessing our website, engaging our services, or signing any agreement with us, you acknowledge that you have read, understood, and agree to be bound by the following Terms & Conditions. If you do not agree, please refrain from using our services.

1. Our Services

Codesc Nepal Pvt. Ltd provides professional technology services including, but not limited to:

Ongoing post-launch support, updates, and performance monitoring.

2. Client Obligations

To ensure smooth project delivery, clients agree to:

  • Provide accurate, complete, and timely information required for project execution.
  • Designate a primary point of contact who has authority to make decisions.
  • Review and provide feedback within the agreed turnaround times.
  • Ensure all content, assets, and third-party licenses supplied are legally owned or licensed.
  • Refrain from using our deliverables for any unlawful or unethical purposes.

3. Payment Terms

Advance Payment:A minimum of 50% of the agreed project cost is required before work commences.
Milestone Payments:Remaining balance is invoiced at agreed project milestones or upon delivery.
Late Payment:Invoices unpaid beyond 15 days may incur a 2% monthly late fee.
Currency:All invoices are issued in Nepalese Rupees (NPR) or USD as agreed in writing.
Refunds:Payments for completed work are non-refundable. Disputes must be raised within 7 days of delivery.

4. Intellectual Property

Ownership of deliverables is governed as follows:

Client-Owned Assets

Upon full payment, all custom code, designs, and content created exclusively for the client become the client's property.

Codesc-Owned Tools

Internal frameworks, libraries, and proprietary tools used during development remain the exclusive property of Codesc Nepal.

Third-Party Licenses

Open-source components and third-party assets are subject to their respective licenses. The client is responsible for compliance.

Portfolio Rights

Codesc Nepal reserves the right to showcase completed work in our portfolio unless the client requests confidentiality in writing.

5. Project Timeline & Delays

Codesc Nepal commits to delivering projects within agreed timelines. However, the following may affect delivery:

  • Delayed feedback, approvals, or content submission by the client.
  • Scope changes requested after the project has commenced.
  • Force majeure events including natural disasters, power outages, or internet disruptions.
  • Dependencies on third-party APIs, services, or platforms outside our control.

Any timeline adjustments due to client-side delays will be communicated in writing and mutually agreed upon.

6. Confidentiality

Both parties agree to keep all shared business information, project details, and technical data confidential. Codesc Nepal will not:

  • 🔒Share client data with any third party without prior written consent.
  • 🔒Use proprietary client information for any purpose beyond the agreed scope.
  • 🔒Disclose source code or design files to competing parties.

7. Limitation of Liability

Codesc Nepal's liability is limited to the total amount paid by the client for the specific service in question. We are not liable for:

Indirect Losses:Loss of revenue, data, goodwill, or profits arising from service use or unavailability.
Third-Party Failures:Downtime or data loss caused by hosting providers, payment gateways, or external APIs.
Client Misuse:Consequences arising from the client using deliverables in violation of these terms or applicable laws.

8. Termination

Either party may terminate the engagement under the following conditions:

  • Client may terminate with 14 days written notice. Payments for work completed to date are non-refundable.
  • Codesc Nepal may terminate if the client breaches these terms, fails to make payment, or engages in abusive conduct.
  • Upon termination, Codesc Nepal will deliver all completed work and the client will settle any outstanding invoices.
  • Confidentiality obligations survive termination indefinitely.

9. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Nepal. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal. Both parties agree to attempt resolution through good-faith negotiation before pursuing legal proceedings.

10. Amendments

Codesc Nepal reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email or a prominent notice on our website. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
